It had been a while since Coulson had been to New York, his work kept him busy but he tended to avoid this city for good reason. He had far too many memories of this place and he died here which was never an experience that recommended a city to a person but with their personnel stretched there were somethings that a leader just had to do for himself. Kate was on the way back but she was still going through qualifications and for this particular mission there was just no way that John could be sent because the man he had come to see would make absolute mincemeat out of him because as much as he respected John he wasn't exactly a towering intellectual and when you were dealing with the man he had come to see, you needed all the advantages you could get. Coulson stepped out of his car and took a deep breath of polluted air, he remembered something that Fury had once said to him, never trust air you can't see and having spent years in New York he understood what his former boss had been getting at. The morning was a bit chilly which was to be expected and as he looked around he had to admit that he was good to be home, walking over to a hot dog vendor he ordered his usual. Relish, mustard and a touch of ketchup was his brand of hot dog and after handing over a couple of notes to the vendor, Coulson savored the taste of his breakfast as he gathered himself for the meeting he had planned.

The incident at the Xavier Institute had shaken the country as they realized for the first time that their children could be at risk, people weren't seeing the propaganda that the Government was putting out there, all they saw were children being taken down by soldiers. There had been a cost to that battle to both sides and one of those costs was that Tony Stark had disappeared and the sight of a damaged AVENGERS Tower loomed over the city like some of sign that darker times were to come. Coulson had to shade his eyes as he looked at the Tower, it stood for such hope but now that it was abandoned perhaps it was a sign and if that was true then they were all in trouble and things had become much worse now that the Government has turned to someone else to try and take Tony Stark's place. Norman Osborn was one of the richest men in the world, he wasn't Tony Stark rich but he was the CEO of Oscorp which was one of the leading companies in the field of biological and genetic research. It wasn't exactly public knowledge yet but he had been approached by the Committee for Metahuman Affairs to become the public face of the Registration Act, they felt that the American public and the world would react better to a face that inspired confidence rather than a military one like had been recommended to them.

Coulson had gotten word from people he had on the inside and he had grown concerned, there were plenty of rumors about the work that Oscorp did for the Government as well as themselves. Oscorp like any large multi-national had a lot of divisions doing projects no one else knew about and when SHIELD was the World's Premiere Spy Agency they kept an eye on them to make sure that their ambitions didn't put the world at risk but with them gone there was nothing to keep an eye on them. One of the rumored projects they were linked with was something to do with biological enhancement, the file had been thin but it was described as a black liquid that resembled tar and having read John's report about an encounter with the entity known as Venom, Coulson suspected that they might be linked but he had no proof. But it was enough to get him here to have a meeting with Norman, at the very least he could get an eye on him so he could weigh the man's character and get a sense of him something that was impossible to do without a face to face. Someone like Norman Osborn was bound to be well informed so he would more than likely know who he was but not the reason he was here which would rouse his curiosity at the very least. Walking into the office building, Coulson walked up to one of the receptionists and annouced himself, he still had his cover identities and this one was for Phillip Coulson, National Security Agency. He had a properly arranged appointment so he was escorted to the penthouse floor where Norman's office was and then was offered a coffee while he waited for Mr Osborn to be available.

Norman Osborn had spent much of the day signing forms, declining others, and making calls to his other facilities regarding their upcoming projects and R&D progress, as well as reminding Harry not to call him during work hours. Not that he wanted to hear from him, anyway. He'd flunked out of every private school he'd sent him to and the latest boarding school he was at he didn't seem to be doing any better in and it may come down to sending him to a public school if he failed at this one, too, which whether he succeeded there or not would be a blemish on their name after his own achievements. It disgusted him that his legacy had come to this, weakness was intolerable in the Osborn family.

Also coming to mind was his meeting with National Security Agency representative Coulson. With all that had happened recently with the conflicts that occurred over the SRA and Sokovia Accords which left the Avengers broken apart from in-fighting over stances regarding these laws, and the incident at Xavier's, the public trust had been visibly damaged. Still, opportunities arose. Tony Stark's apparent demise left a vacancy that Norman and by extension Oscorp was requested to fill for defense and military contracts after their success at producing the Raft had put them in the government's good graces.

There had been a few snags along the way, however. The symbiote project that had become Venom, for one thing, Norman had gone to great lengths to make sure it could not be traced back to Oscorp... at least not in any way that could be proven. The "theft" of the flight suit and combat glider prototypes were necessary, however. With Tombstone and Silvermane warring over the power vacuum Fisk left behind, it left Osborn the opportunity to also step in and seize it himself and thus tie up any loose ends he had with New York's organized crime, as well as eliminate the city's resident hero, Spider-Man. The Green Goblin had made his presence known after crashing that charity ball and engaging the hero for the first time.

"Mr. Osborn, Agent Coulson is here for his appointment," his secretary's voice informed him over the speaker, interrupting his thoughts.

"Send him in," Norman replied. Once Coulson was admitted in, Norman stood up and greeted him with a handshake. "Coulson. Norman Osborn. A pleasure to meet you."

The waiting room was what he expected, expensive but somehow lacking in something which was what he had come to expect from high powered executives. The only one that broke that mold was Tony but then he was a unique individual in general and being part of the tribe as it were was not something that you could ever assign to Tony Stark, he was his own man and it showed in everything that he did. The coffee was excellent however, which was a bonus point as it was smooth and more importantly the coffee wasn't burnt which was a common mistake that people made with coffee. It was certainly going to be interesting meeting Osborn from what he had read of the man, SHIELD had a file on him and he scanned the Internet just to see what he could get about the man, it was important to have some sort of idea of what to expect when you can into the orbits of men like Norman Osborn. From everything that he had gathered, the man was absolutely brilliant and as a businessman absolutely ruthless. There was nothing wrong with that, at his level a certain level of ruthlessness was to be expected, success didn't just happen because you wanted it to, you had to make it happen and from what he had read, Norman certainly had done that. Observations from his SHIELD report showed that he had underlying anger issues which weren't red flags in and of themselves but it made him wonder how his relationship with his son was.

Harry Osborn according to his file had been transferred around the place a bit, different schools same results which pointed to an unhappy childhood and that his father was more comfortable with his son being at a distance rather than being local. Boarding schools were a clean and neat solution to children being around until they were useful at least that was what he had been told by some British friends of his, he would never agree with that statement but if that was their opinion they were welcome to it. Nick Fury had told him that you could tell a lot about a person by their children and how they treated them but that was just an indicator and you still had look the guy in the eye and he tended to follow his old boss' advice. The rest of the Intelligence file had to do with Oscorp, contracts they had with the Government and information on some of the Projects they did know about, they were involved in the Super Soldier serum, trying to replicate that just like a dozen other companies and from what he could see some of their work was quite advanced not that he understood most of the science but he could at least grasp the overview papers supplied for each Project.

Osborn's Secretary came to him and he stood up "Mr. Osborn will see you now." She was polite enough as to be expected and he left his coffee cup adjusting himself so that he was properly presented before he saw Norman. First impressions were everything and he wanted to give off the impression of confident professionalism as any uptight Agent of the NSA would want to give off, it was all part of the cover he had established. Assuming Norman had checked him out, his cover identity worked for the Security and Counter-Intelligence Directorate but that he had transferred over to Foreign Affairs Directorate about five years ago and had made quite the name for himself. Someone like Norman Osborn would always vet the people that he allowed to meet with him personally so he made sure that his cover identity was solid but there was always the chance that Norman's Intel capabilities were sufficient enough to know that he was with SHIELD as well so it would be interesting to see if he revealed his hand in that regard. Walking in as the Secretary introduced him, he returned the handshake in a firm, confident manner "Thank you Mr. Osborn, I am glad that you could make time to see me on such short notice." There was a certain way that this sort of thing happened, the witty banter and repartee before the real business began but he finally got to look the man in the eyes and that was important "Secretary Ross asked me to send his compliments to you, he hopes you are well Sir."

Osborn smirked back as Coulson greeted him and thanked him for meeting with him on such short notice. "It's the least I can do for this new arrangement. Who am I to turn away a meeting with those Oscorp is now going to be working with?" he replied.

As Coulson mentioned Secretary Ross, Osborn nodded. "I am, hopefully the same can be said for him as well after all that's happened," he replied. With that, Norman took a seat at his desk and gestured to the seat across from him.

"Now, Coulson, what can I do for you?"

Coulson took a moment to examine the man sitting in front of him, the smirk on his face and the easy way that he stood, this was definitely a man who thought that all of his pigeons had come home to roost. Recently, Oscorp's stock had taken a big jump ahead of the news that Norman had been approached by the Government to replace Tony Stark as the face of the Registration Act. The problem for them was that they didn't have a living symbol like Steve Rogers on their side and that was one of the primary reasons why the Government were working to remove him from the board, Steve Rogers wasn't just a leader or a soldier, he was everything that was good about this country. Children had to learn about him in their history classes and he had become firmly embedded in the American idea so when he took the position that he did it was a disaster for the Government. Coulson knew that they were looking for other options and had several projects in development but none of them were going to be able to replace Steve Rogers which was why Tony was so perfect. The fact that he had chosen to take the position he had was a dream fallen from Heaven for the PR people in Washington but now that Tony had gone rogue they needed someone else and Norman Osborn fit the bill. A self-made billionaire whose story was one of the most spoken about in the country, he was perhaps the one person that had a chance of holding this together because after the incident at the Xavier Institute.

He was curious which wasn't that much of a surprise but this was just the start of the conversation, there was still a lot of talking to do "Well the Secretary wanted me to come down to have a conversation with you after what happened at the Xavier Institute. As you know, the Government has taken quite the public relations hit on that move, the objectives we wanted to achieve were perhaps too ambitious but now we have to deal with the fall out. Given the issues that we had with Mr. Stark, the Secretary is obviously wanting to have this relationship go more smoothly shall we say so he wanted to get a sense of what you have in mind in terms of the Registration Act and what you plan to bring to the table as it were." It was vital that he get some sort of Intelligence on the man but more importantly see if this was someone they could work with or if he was going to become a serious problem, SHIELD had taken a neutral position but with a new player coming onto the field he had to see what he was facing. Norman Osborn wasn't someone that he was terribly familiar with, his field of expertise wasn't corporate operations, he was more of a field agent so he was playing catch up here but with his cover intact he might be able to get some answers. As he waited for Osborn to give him some answers he glanced over an saw that one of his Personal Aides must have laid out some water before the meeting "Would you mind if I poured myself a water? The trip from DC was a little long."

Norman silently listened as Coulson spoke. Tony Stark's downfall had been a blessing for both Oscorp and himself. While he didn't voice it out loud, not yet, anyway. Not until everything was entirely secure, Norman considered Tony Stark a weakling under his charisma. Not just because the boy was born into fortune and inherited a successful company while Osborn was a self-made man who spent much of his life restoring the family name and built his company from the ground up and all the... sacrifices... that entailed, Tony let his emotions get the better of him. He knew a man who acted out of guilt when he saw one and someone who acted out of guilt was easy to manipulate and that was clearly what made Tony make too many risks decommissioning arms deals, putting on the suit, and approving of the Registration Act.

Osborn had no such reservations and would fulfill the government's desire to feel strong in the face of so many super-powered forces, and ease their fears. The Avengers who chose to defy the government would learn who they answered to or be eliminated.

"Feel free." he said, gesturing to the water cooler before giving his response to Coulson's assertion. "The incident at the Xavier Institute was most unfortunate, yes. In this age of social media as the dominant source of information flow and millennial audiences who now only know how to react, not think, anything can turn into a PR nightmare with the wrong images or the wrong context. I believe for starters if we want to maintain support for the Registration act, we have to focus on the one thing that influences them: perception."

He took a moment to let Coulson take his words in. "Say a mutant child has the misfortune of developing radiation powers. He's even more unfortunate that he can't control it, the field he emits gets larger and more intense, till he's a walking nuclear bomb on the verge of exploding. The authorities are sent in, only to find they can't get close without dropping dead of radiation poisoning from the field he's emitting, in a matter of seconds, the kid's powers are going to take out the entire town and poison the land with the fallout. With no other option, a sniper is ordered to take the shot, the kid falls dead before he can die from exploding, his powers instantly fizzle out, crisis averted. But uh oh... pictures of the dead kid get leaked on the internet without the whole story and the government gets accused of brutality and prejudice, riots follow, and the Registration Act's support takes a nosedive." he explained.

"...Unfortunately, I don't own the media so that part is up to you. What I can provide is the research and development on reverse-engineering and improving the technology we've gained in such abundance since the Chitauri invasion and Ultron, and produce a wide variety of counter-measures against rogue Avengers or other super-powered individuals that pose a threat. If the government is sufficiently equipped to handle such matters, it can enforce its laws, as well as regain the public's faith after the in-fighting between the Avengers gave it another unfortunate blow."

Coulson poured himself a drink and did what any good Government employee would do, he listened and took in everything that Osborn was saying, after all the man was one of the big leaders in American business and had a strong voice when he used it. This was one of the big reasons that he had started to investigate the man once Tony Stark was declared an outlaw because there were very few that had the resources, resources and force of will to fill the void that Tony left when he sided with Steve during the Xavier Institute attack. There were others that he was going to check into, Justin Hammer was someone who might be able to do what Tony did but he lacked that force of will that Tony and Norman seemed to have and it seemed that he was already working for the Government if the Sentinel units were anything to go by, they weren't what Stark Industries would have developed but they did seem to be remarkably effective. Norman Osborn however was a totally different creature and he had known that before he had come here to meet him, he had a remarkable business reputation and multiple Government contracts and when he had been working for SHIELD Oscorp had been one of the main businesses that provided support to some of their most classified projects. Given Coulson's operational brief though he hadn't run into Osborn personally or professionally so he was able to carry out this interview without raising too many questions about what might be his role here with the Government or why he was really here.

Taking a sip from his water, Coulson processed what was being said here and Norman was proving that he had some fairly intelligent insights into what was happening here with the SRA and the politics involved with it. The issue here was that Norman had an actual plan and one that could work if it was followed through to its logical position, and the bastard had the ability to make it happen because unlike Tony, Coulson suspected that he was seeing this from a different perspective. Placing the glass down on the table, it was time to really see what direction this was going in because from everything that he hearing, he had a real cause for concern here "I think that the incident at the school could have been avoided if there was a less military based response to the information they received. The problem with the metahuman issue for us is that there are still questions surrounding their Constitutional rights as citizens especially if they haven't committed a crime. Using your example of the child, there are Rules of Engagement governing the use of force and that has been a buffer against the use of the Police Force against our citizens. Now yes in that situation, I have no doubt that the order would be given to take the shot but it is still a tragic circumstance as that child didn't choose to develop those powers unlike an actual threat to our society and so a measured response of outrage from the public is to be expected."

Leaning forward, now was the time where he would get a measure of the man behind the charm to see what he was really dealing with "We need someone who is able to bridge that gap, Tony Stark was able to because he is seen as one of the people something Mr Osborn you aren't known for. If you are to become the face of this movement to replace Tony Stark, the question remains how would you deal with this child without the use of deadly force? Tony had the AVENGERS and using their unique skills and abilities they would be able to defuse that situation without the child being killed. Even if it did save the town and the land, that child is not a criminal, he is a victim of his biology and I think that is an important difference as does the US Government." Coulson took another drink as he waited for Osborn's response, this was a debate going on in the ATCU as well as other agencies working on the metahuman question. Nearly every incident involved a metahuman who was not threatening anyone but whose powers had manifested and caused harm to either individuals or property, the law did have rules about such things but metahumans were raising the level of that debate and given the position that Norman Osborn was looking to fill, it was important to see where he stood on this.
